Welcome to Clix Web. By using our services, you agree to these Terms and Conditions. Please read them carefully. These terms apply to all users of our website and services.
1. General Information
These Terms and Conditions ("Agreement") govern the use of services provided by Clix Web, including web design, development, hosting, and related services. By accessing or using our services, you agree to be bound by these Terms and Conditions.
2. Services Provided
Clix Web offers a variety of web-related services, including:
- Custom web design and development
- Website hosting
- SEO optimization
- Website maintenance and updates
- Other digital services as agreed upon with the client
3. Payment Terms
- Web Design & Development: A non-refundable deposit of 50% is required upfront for all web design projects. The remaining balance must be paid upon completion of the project, before the website is handed over to the client.
- Hosting: Hosting services are billed annually and must be paid in full before services are provided. Clients who fail to make hosting payments will face suspension of their websites until payment is made.
4. Late Payments & Service Disruption
- If a client is behind in payments for more than 3 months, Clix Web reserves the right to terminate the agreement and shut down the website hosted under this agreement.
- In the case of unpaid invoices for completed web builds, if the client has paid 50% in advance, but fails to pay the remaining balance after the website is completed, Clix Web reserves the right to shut down the website after 3 months of non-payment.
- All outstanding invoices must be settled within 30 days of the payment due date. If not paid within this period, additional fees or penalties may apply, and services may be suspended.
5. Client Responsibilities
- Clix Web is not responsible for providing content for the website unless explicitly agreed upon. The client is responsible for providing all necessary content, images, and other materials needed for website development.
- Clients must ensure that any content they provide complies with all applicable laws and does not infringe on intellectual property rights or the rights of third parties.
6. Ownership of Work
- Upon full payment, the client will retain ownership of the website and its contents. Clix Web retains the right to showcase the project in our portfolio, unless the client requests otherwise in writing.
- If there are any unpaid invoices, Clix Web retains the right to withhold access to the website until payment is made.
7. Intellectual Property Rights
All intellectual property created by Clix Web during the project (such as logos, graphics, and code) remains the property of Clix Web until payment has been made in full. Upon full payment, intellectual property rights will transfer to the client.
8. Website Hosting
- Clix Web offers hosting services, but the client understands that Clix Web is not responsible for third-party hosting issues, including server downtime or issues caused by other services used.
- Hosting fees must be paid on time. If hosting fees are overdue by more than 3 months, Clix Web reserves the right to suspend the website and terminate the hosting agreement.
9. Termination
- Clix Web reserves the right to terminate the agreement if the client violates any of these terms, including non-payment of invoices or providing unlawful content.
- The client may terminate the agreement at any time by providing written notice to Clix Web, but termination does not relieve the client of their responsibility for outstanding payments.
10. Limitation of Liability
- Clix Web will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use or inability to use the website or services.
- Clix Web does not guarantee that the website will be error-free, secure, or meet the client’s expectations beyond the scope of the agreement.
11. Confidentiality
Both parties agree to keep any confidential information shared during the term of the agreement private. This includes any business, technical, or financial information that is not publicly available.
12. Indemnification
The client agrees to indemnify and hold Clix Web harmless from any claims, damages, or expenses (including legal fees) arising out of the client’s use of the website, including any infringement of intellectual property or other third-party rights.
13. Governing Law
These Terms and Conditions are governed by the laws of [Insert Jurisdiction], and any disputes related to this Agreement will be resolved in the courts located in [Insert Jurisdiction].
14. Changes to Terms and Conditions
Clix Web reserves the right to update these Terms and Conditions at any time. Any changes will be posted on this page with an updated effective date. By continuing to use our services after changes are posted, you agree to the updated terms.
15. Scope of Work and Additional Charges
All work performed by Clix Web is based on the scope outlined in the agreed-upon quote or project proposal. Any requests for changes, additions, or new features that fall outside of the initial scope will be considered additional work and may incur extra charges based on an hourly rate of 65,00 euro excluding taxes.
Clix Web will inform the client in advance of any additional costs, and work will only proceed upon the client’s written approval of the revised quote.
Clients understand that failure to clearly define all desired functionalities or design preferences upfront may result in additional time and costs if such changes are requested later.
